Terms of Service (English)
These terms govern the use of the operations SaaS for academies, education providers and after-school care programmes (the "Service") provided by Tenvio ("we", "us") at tenvio.net and its subdomains. A trial request alone does not form a contract; the agreement is formed as set out in clause 2.
1.Definitions
- We / us: Tenvio.net (GST 114-293-300), trading as "Tenvio".
- Customer: the academy, education provider or after-school care operator that is party to the agreement.
- Users: people the Customer gives an account or permission to (owner, managers, teachers, drivers and others), and the parents, caregivers and students who use the Customer's parent portal or public pages.
- Customer Data: all information entered into or stored in the Service by or for the Customer (student and caregiver rolls, enrolments and bookings, attendance, sign-in and sign-out records and signatures, pick-ups, grades, notices and photos, billing and payment records, etc.).
- Student Information: the part of Customer Data that is personal information about students and their caregivers.
- Order Confirmation: a written statement we send the Customer (including by email) setting out that Customer's plan, fees, setup fee, trial period and other terms.
2.Formation
- The agreement is formed at the earliest of: (a) the Customer accepting our Order Confirmation; (b) the Customer's owner accepting these terms on the terms acceptance screen in the Service; or (c) the Customer first signing in and starting to use the Service.
- If an Order Confirmation differs from these terms, the Order Confirmation prevails.
- The person accepting on the Customer's behalf confirms that they have authority to bind the Customer.
3.The Service and rights in it
- We provide and maintain the Service with commercially reasonable efforts. No specific uptime (SLA) is guaranteed.
- Features depend on the subscribed plan. We may improve or change the Service; we will give 30 days' notice of changes materially adverse to the Customer.
- We will restore the Service promptly, within reason, after maintenance or outages.
- We own the rights in the Service's software, design and trade marks. For the term of the agreement the Customer has a non-exclusive, non-transferable right to use the Service to run its own business. Rights in Customer Data remain with the Customer under clause 7.
- We may use any feedback or suggestions the Customer gives us about the Service to improve it, without payment.
- We also own the rights in any features, settings or code we build at the Customer's request, including where a custom work fee is paid, and we may make them available to other customers. A custom work fee pays for development and priority delivery and does not grant exclusivity. This does not cover Customer Data or the Customer's own name, logo and wording.
4.Fees and payment
- Fees follow the price list published on the academy portal at the time of order, in New Zealand dollars. We are GST-registered and published fees are exclusive of GST — GST at 15% is added on invoice, and we issue a tax invoice showing our GST number.
- Subscriptions are monthly. The setup fee is one-off and non-refundable (if cancelled before onboarding completes, the unperformed part is refunded by agreement). There is no term commitment and the Customer may terminate at any time. Contracts started before 2026-09-29 on the 12-month-term setup-fee waiver keep the previous clause (terminating during the term costs the remaining months × NZ$54).
- If payment is overdue, the Service may be suspended after the grace period stated in the Order Confirmation (default 7 days). Customer Data is preserved under clause 11 during suspension.
- Fee changes take 30 days' notice and never apply to periods already paid.
- What "unlimited" means — an item a plan lists as unlimited (such as students or staff) is unlimited within the normal operation of the Customer's own single business. The Customer may not run several businesses from one account or resell the Service to third parties. Above the threshold published on the academy portal (300 or more students, or 5 or more sites), we may agree a separate fee with the Customer; if no agreement is reached, either party may terminate on 30 days' notice. Exceeding a threshold never locks existing data or accounts.
- AI writing assistant — each plan includes a number of uses per month (published on the academy portal). Uses refill on the 1st of each month, New Zealand time, and unused uses do not carry over. The Customer may add AI Plus (monthly fee and additional uses published on the academy portal, exclusive of GST). When the included uses run out, the feature simply stops for the rest of that month; we never charge automatically for usage beyond the allowance. Changes to included uses or the AI Plus fee take 30 days' notice, as for other fee changes in this clause.
5.Trial
- The trial is free of subscription fees. It runs for 30 days from the day we open the Customer’s account, unless the Order Confirmation states a different period or different conditions, in which case those apply.
- Continued use after the trial requires choosing and paying for a plan. If the Customer terminates within the trial, or has not chosen a plan by the time the trial ends, it is treated as terminating within the trial: no subscription fee is charged. Only where we delivered onboarding or training during the trial at the Customer’s request do we charge NZ$295 as its cost; where the Customer only had an account opened to look around, nothing is charged (the NZ$295 is not charged where the setup fee was already paid — clause 4 applies instead).
6.Customer responsibilities
- Manage accounts and access, and remain responsible for Users' use of the Service. The Customer also decides and manages the scope of any permissions it gives to teachers, drivers and others.
- Use the Service lawfully and not upload data infringing third-party rights.
- The accuracy of Customer Data and the lawfulness of its collection are the Customer's responsibility. Before entering Student Information into the Service, the Customer tells caregivers that it is collected, why, and where it is stored (clause 7), and obtains any consents required (including consent to publish photos).
- Not decompile or copy the Service, circumvent its security, or place a load on it beyond normal use.
- Obligations the Customer has under law, funding conditions or licensing conditions (record keeping, staffing ratios, child protection procedures and the like) remain the Customer's responsibility. Using the Service does not by itself satisfy them.
7.Data and privacy
- The Customer owns and controls Customer Data. We process it only on the Customer's behalf, for providing the Service.
- We comply with the New Zealand Privacy Act 2020. We do not use Customer Data for other purposes or sell it to third parties.
- Student Information — Student Information includes information about children. It is accessible only within the permission scheme set by the Customer, and we do not use it for advertising, for sale of analytics, or to train artificial intelligence. We use our AI service provider (clause 8A) only on paid terms under which the text sent is not used to improve that provider's products or to train AI. Where a caregiver or student asks to access or correct their information, the Customer responds and we give reasonable help at the Customer's request. If we receive such a request directly, we pass it to the Customer.
- Operator access: our operators access the Customer's screens only when the Customer allows it in the Service's settings (Tenvio support access), and only for the period (up to 72 hours) and level (view only by default) allowed. The Customer's managers are notified when access starts, and every access is recorded in a log the Customer can see. The only exceptions are compliance with legal obligations, responding to security incidents, and restoring service in an urgent fault that the Customer has asked us to fix or that prevents use of the Service; even then the reason is recorded, access is limited to 24 hours, and the Customer is notified. Exception access is view only by default; permission to make changes is used only where needed to fix the fault, and that fact is stated in the notice and the log. The Customer can end the access at any time in the settings.
- Server and database administration rights are held by the minimum number of people needed to run the Service, and we do not use them to view Customer Data except to restore service, respond to security incidents, or check the quality of the Service (reproducing faults and confirming fixes). Any copy used for a quality check is deleted when the check is finished.
- Location and service providers — Customer Data is stored on servers in the Sydney, Australia region (Supabase, ap-southeast-2) — that is outside New Zealand. We also use Cloudflare for delivery and security, the push services of device and browser providers to deliver push notifications, the provider of the mail account the Customer enters in settings to send email, and Stripe for card payments. If the Customer uses the AI writing assistant (clause 8A), the text staff enter into that feature is processed by Google's Gemini API (a paid service) — outside New Zealand. Storage overseas is subject to IPP 12 of the Privacy Act 2020, and we take care that the receiving party provides comparable safeguards. We will tell the Customer if we change the storage location or a principal provider.
- We maintain reasonable security measures and use our hosting provider’s backup features. We do not guarantee restoration to any particular point in time or of all data, so the Customer keeps its own copies of important data using the export features.
- We will notify the Customer without undue delay of any privacy breach, and give the Customer the information it needs to notify the Privacy Commissioner and the people affected.
8.Attendance, sign-in/out, pick-up and notification features
- Attendance, sign-in and sign-out stamps and signatures, pick-up lists and boarding marks, notices, and push and email notifications are tools that record the Customer's operations and help pass information on. They are not a system that secures or monitors the safety of children.
- Handover, supervision and safety of students, and every decision about them, remain the Customer's responsibility at all times. The presence or absence of a mark on a screen must not be treated as confirmation of where a student actually is.
- Notifications may be delayed or not delivered because of device settings, networks, or mail and push providers, and we do not guarantee that a notification is delivered or when. The Customer confirms important messages by other means as well.
- The Customer keeps a procedure (such as a paper roll) that lets it continue operating if the Service is unavailable or slow.
- We do not warrant that the Service's records, signatures or printed output meet the requirements of any particular law, funder or licensing body. The Customer is responsible for checking that.
8A.AI writing assistant
- The AI writing assistant is an optional feature that produces draft wording and translations from text staff write in notices, grade comments, work logs and similar places. Its output is a draft: the Customer reviews and edits it before saving, publishing or sharing it with caregivers. We do not warrant that AI output, including translations, is accurate, complete or fit for any particular purpose, and the Customer is responsible for anything it saves or publishes.
- The feature sends only the text staff enter in that box and the minimum other information needed to produce the result (for example a grade, a class name, or the language a caregiver chose). It never adds student or caregiver names or contact details automatically, and it never sends the student notes in the work log. The Customer instructs its staff not to enter sensitive information, such as student names or health information, into the feature.
- The feature is processed by Google's paid Gemini API. Under Google's terms, the text sent and the output are not used to improve Google's products or to train AI; Google may keep logs for a limited period solely to detect abuse. We do not store the text sent or the output separately; we record only usage (who, when and what kind). Output the Customer saves becomes Customer Data.
- The feature is used only by the Customer's adult staff, in the staff app. Students do not use it, and it cannot be called from the parent page or the public page.
- We may change the AI service provider or model, and will notify a change of provider under clause 7. We may suspend or change the feature where required by law, by the provider's terms, or for safety.
- At the Customer's request, we will turn the AI writing assistant off for that Customer.
9.Billing, payments and payment processing
- Fee calculations, invoices, unpaid markers and accounting exports (CSV, Xero and others) are produced from the settings and records the Customer enters. The Customer checks the results before sending them to caregivers or using them for accounting or tax, and we do not provide tax or accounting advice.
- Enrolment contracts and refunds between the Customer and caregivers, and any terms the Customer publishes on its parent portal, are between the Customer and the caregivers. We are not a party to them.
- Card payments — where card payments are enabled for a Customer, they are processed by a payment provider (Stripe) and paid directly into the Customer's own Stripe account. The provider's terms apply, and the provider deducts its fees directly from the Customer's account.
- Card fees — the card fee borne by the Customer is the payment provider's fee plus our platform fee (a percentage of the payment, with no fixed per-transaction amount). The rate is shown on the academy portal or in the Order Confirmation, and changes take 30 days' notice under clause 4. Our platform fee is deducted from the payment as a single amount and is therefore GST-inclusive — the GST-exclusive rule in clause 4 applies to subscription and setup fees.
- We are not liable for the payment provider's acts or outages. Cash, bank-transfer and card recording features, and uploaded transfer confirmations, are records only, not a guarantee of payment.
10.Suspension
- We may suspend the Service to the extent necessary for non-payment (clause 4), a security risk, a breach of law, or a material breach of clause 6. Unless the security risk is urgent, we give notice and an opportunity to remedy first.
- During suspension the Customer may still export Customer Data on request.
11.Termination and data return
- To cancel, the customer must give Tenvio at least 30 days' written notice (email is fine). Fees already paid are not refunded. (Early cancellation of a contract that began on former fixed-term conditions follows the former clause in section 4.)
- We may terminate on 30 days' notice, or after notice to remedy a material breach (including non-payment). If we terminate where the Customer is not in breach, we refund pro rata any prepaid subscription fees for the period after termination.
- For 30 days after termination the Customer may export Customer Data. After that we may delete it, and will do so within a reasonable time, except what the law requires us to keep (backup copies are removed within the normal backup cycle).
- Records the Customer must keep under law, tax rules or funding conditions (attendance, sign-in and sign-out records, billing records and the like) are for the Customer to export and keep within that period. We cannot restore them after deletion.
12.Warranties · Consumer Guarantees Act
The Service is provided "as is". The Customer acquires the Service in trade, and both parties agree that the Consumer Guarantees Act 1993 does not apply to this agreement, and that this exclusion is fair and reasonable.
13.Limitation of liability
- To the extent permitted by law, neither party is liable for indirect or consequential loss (lost profits, data reconstruction costs, etc.).
- Our total liability is capped at the greater of the amounts the Customer paid in the 12 months before the event giving rise to the claim and NZ$300.
- These limits do not apply to wilful misconduct or gross negligence, or to fees the Customer owes.
- Neither party is liable for a failure or delay caused by circumstances beyond its reasonable control (failures of networks, power or upstream cloud providers, disasters, government action and the like), provided it gives prompt notice and takes reasonable steps to recover.
14.Third-party claims
- If a User, caregiver, student or other third party brings a claim against us about (a) the collection or use of Customer Data being unlawful, (b) the Customer's operation of its business, including teaching, care and transport, or (c) a contract or fees between the Customer and a caregiver, the Customer indemnifies us for our loss and reasonable costs to the extent the claim arises from the Customer's act or omission.
- We will notify the Customer promptly of any such claim and cooperate in its defence. This clause does not apply to the extent the claim arises from our breach of these terms.
15.Changes to these terms
We may change these terms. For changes materially adverse to the Customer we give 30 days' notice by email or in the Service, and the Customer may terminate before they take effect. We may ask the Customer to accept the changed terms again in the Service. Continued use means acceptance.
16.General
- Governing law — this agreement is governed by New Zealand law and the New Zealand courts have jurisdiction.
- Disputes — if a dispute arises, the parties first give written notice and negotiate in good faith for 20 working days. Either party may seek urgent interim relief regardless.
- Notices — we give notice to the email address of the Customer's owner account or in the Service; the Customer gives notice to the email address in clause 17. An email is treated as received on the working day after it is sent.
- Assignment — the Customer may not assign this agreement without our consent. We may assign it to a purchaser of the Service business on 30 days' notice.
- Severability — if part of these terms is invalid or unenforceable, the rest remains in effect.
- Entire agreement — these terms and the Order Confirmation are the entire agreement between the parties about the Service.
- Language — if the Korean and English versions differ, the English version prevails.
